Ambassador Terms of Service

By participating in LEAU CLOTHING LLC's ("LEAU," "we," "us," or "our") Ambassador Program ("Program"), you ("Ambassador," "you," or "your") agree to these Terms of Service. Please read them carefully.

You may only participate in the Program if you are eighteen (18) years of age or older. Your participation constitutes express consent to these Terms.

Failure to comply with these Terms will result in immediate termination of your Ambassador account and all related privileges, as well as forfeiture of all unpaid commissions earned through your participation in the Program.

Program Overview

The LEAU Ambassador Program is an invite-only program for hand-selected creators. As an Ambassador, you will earn commission by promoting LEAU products through your social media platforms and personal networks. You may also choose to grant LEAU access to share and promote your content through our platforms.

Eligibility

LEAU reserves sole discretion over the approval or rejection of all applications to the Program. You must be at least eighteen (18) years of age to participate.

You are only permitted to have one Ambassador account. Creating multiple accounts is grounds for immediate termination and forfeiture of all unpaid commissions.

How You Earn

Upon acceptance into the Program, you will receive a unique Ambassador Link to earn commission on qualifying purchases.

You can earn commission on organic sales made through your unique affiliate link on leau.com. If you choose to participate in TikTok Shop, you can also earn commission when you tag and showcase LEAU products in your content. TikTok Shop participation is optional.

Optionally, you may grant LEAU permission to run your content as paid advertisements (including Meta ads, Spark Ads, and whitelisted content). If you opt in, you will earn commission on qualifying sales generated through those ads. In exchange, you will receive increased reach and exposure from LEAU's advertising spend, potential follower growth on your social media accounts, and visibility to new audiences. This is completely optional and not required to participate in the Program.

Commissions are calculated based on net sales (excluding taxes, shipping, returns, and chargebacks). Commissions are tracked using a 30-day cookie, meaning you earn on any qualifying purchase made within 30 days of a customer clicking your link. Commissions are paid out every 30 days via the applicable payment system. You are responsible for any applicable taxes on your earnings.

Ambassador Responsibilities

You agree to create original content featuring LEAU products, ensure all content is high-quality and represents the brand positively, and include your unique affiliate link or TikTok Shop product tags where applicable.

You agree to comply with all Federal Trade Commission (FTC) guidelines and applicable laws regarding disclosure of sponsored content and affiliate relationships.

You agree to represent LEAU in a positive and professional manner, not make false or misleading claims about our products, and not engage in any behavior that could damage our reputation or brand image.

Program Updates

LEAU provides guidance and updates regarding the Program via online platforms (e.g., Notion, email). You are responsible for staying informed of any updates and will be presumed familiar with such materials whether or not you access them.

LEAU reserves the right to modify Program policies at any time, with or without notice.

Content Usage and Advertising Rights

By participating in the Program, you grant LEAU the right to repost your content on our organic social media channels (with credit) and feature your content on our website and marketing materials.

If you choose to opt in, you grant LEAU the right to use your content in paid advertising campaigns, run advertisements through your social media accounts (whitelisting), and boost or promote your content through paid media. In exchange, you will earn a reduced commission on those sales and benefit from increased reach, exposure, and potential follower growth from our ad spend.

Prohibited Activities

You agree not to:

Post your affiliate link on coupon websites, deal forums, or browser extensions (including RetailMeNot, Honey, Rakuten, etc.)

Bid on LEAU brand terms or trademarks in search engine advertising

Share your affiliate link on Reddit or other public forums

Spam your affiliate code in LEAU's social media comments, TikTok Lives, or other creators' content

Create multiple ambassador accounts

Use LEAU's original content or other creators' content as your own without permission

Post negative, disparaging, or defamatory content about LEAU

Make false or misleading claims about LEAU products

Create content with inappropriate language, hate speech, or controversial topics while representing LEAU

Fail to disclose your affiliate relationship as required by FTC guidelines

Direct customers with order issues to yourself (redirect them to help@leauclothing.com)

Contact LEAU team members via personal social media accounts for ambassador-related matters

Non-Disparagement

You agree not to criticize, disparage, or make negative statements about LEAU, its products, services, employees, or business practices.

Consequences of Violations

First violations will result in a written warning. Repeated violations will result in temporary suspension. Serious violations will result in immediate termination and forfeiture of unpaid commissions.

Serious violations include: bidding on brand terms, posting on coupon sites, creating multiple accounts, using others' content, disparaging LEAU, and fraudulent activity.

Termination

Either party may terminate participation at any time with written notice. LEAU may also terminate or modify your participation at any time for any reason, with or without notice.

Upon termination, your affiliate links will be deactivated, you must cease representing yourself as a LEAU Ambassador, and you will receive payment for any outstanding commissions (subject to these Terms). LEAU's rights to use previously submitted content survive termination.

Confidentiality

You agree to keep confidential any non-public information shared with you by LEAU, including upcoming product launches, marketing strategies, and sales data. This obligation continues after your participation ends.

Independent Contractor Status

You are an independent contractor, not an employee of LEAU. You are responsible for your own taxes, insurance, and compliance with applicable laws. You will not receive any company-sponsored benefits.

Indemnification

You agree to indemnify and hold harmless LEAU and its officers, directors, employees, and representatives from any claims, damages, or expenses arising from your breach of these Terms or your misconduct in the Program.

Limitation of Liability

LEAU is not liable for any indirect, incidental, special, or consequential damages arising from these Terms. Our total liability shall not exceed the total commissions paid to you in the 12 months preceding any claim.

Publicity

You may not issue press releases or publicize your association with LEAU without prior written permission.

Assignment

You may not assign your rights or obligations under these Terms without LEAU's written consent. LEAU may assign its interest to an affiliate or acquiring party without your consent.

Disputes

Any disputes arising from these Terms shall be resolved through binding arbitration in Los Angeles, California under the Commercial Arbitration Rules of the American Arbitration Association. Each party bears its own costs.

Governing Law

These Terms are governed by the laws of the State of California. Any legal proceedings must be brought in federal or state courts located in Los Angeles County, California.
